Garden Shares Plans to Acquire 93.5% of Sage Microelectronics in Major Asset Restructuring
Garden Shares announced on the evening of September 28 that it plans to acquire 93.5031% of Sage Microelectronics from 98 shareholders, including Hangzhou Hualanchuang Enterprise Management Consulting Partnership, through a combination of share issuance and cash payment, and to raise supporting funds. The transaction constitutes a major asset restructuring, does not constitute a related-party transaction or a restructuring listing, and the share issuance price is 19.20 yuan per share. The transaction price has not yet been determined and will be disclosed in the restructuring report after the audit and evaluation are completed. Trading in the company's shares will resume on September 29, 2026. The target company, Sage Microelectronics, is a domestic supplier of components in the data storage sector, with proprietary storage controller chips and array controller chips, and its products cover consumer, industrial, enterprise-grade, and information technology application innovation markets. Garden Shares stated that after the transaction is completed, the company will control Sage Microelectronics, and its core business scope will expand to areas related to storage controller chips and array controller chips, which will help reduce reliance on the construction segment and promote business transformation. In the first half of this year, Garden Shares achieved operating revenue of 261 million yuan, and net profit attributable to shareholders of the listed company was negative 71.0727 million yuan, of which the semiconductor storage business achieved operating revenue of 114 million yuan, accounting for 43.78% of total operating revenue.
