Arbitral Tribunal Reaffirms Korea's Liability to Elliott in 2015 Samsung Merger, Award Now About US $113 Million

An arbitral tribunal under the U.S.-Korea Free Trade Agreement issued a supplemental award reaffirming that the Republic of Korea's corrupt manipulation of a shareholder vote to approve the 2015 Samsung merger breached the Treaty and caused Elliott's losses. The Tribunal reinstated the relief previously awarded to Elliott in June 2023 and added the costs of the unnecessary proceedings caused by the ROK, bringing the total to approximately US $113 million in damages, interest, and legal fees and costs, an increase of US $18.9 million including the ROK's own legal costs. The original June 2023 award found that the ROK breached the Treaty when its Presidential Blue House and the Ministry of Health and Welfare directed the National Pension Service's decision to approve the 2015 merger of Samsung C&T and Cheil Industries, causing Elliott substantial damages as a minority shareholder of Samsung C&T. After the ROK challenged the Award in the English Court on a purely technical jurisdictional basis, the English Court remitted the case to the Tribunal, which found that but for the ROK's unlawful intervention the NPS would have voted against the merger regardless of the NPS's legal status. Elliott said interest has been accruing for more than 11 years since the breach and will continue at a rate of more than US $10,000 every day, and it hopes the ROK will finally honor the Award.

Samsung and affiliates commit $1B to KKR- and Nvidia-backed Helix

Samsung Electronics and its affiliates will jointly invest $1B in Helix Digital Infrastructure, the AI infrastructure company launched by KKR with backing from Nvidia. Samsung Electronics said Tuesday it will put in $500M, with Samsung C&T, Samsung SDS, Samsung SDI, Samsung Life Insurance, and Samsung Fire & Marine Insurance contributing the remainder. The deal lets Samsung draw on capabilities across its affiliates, from semiconductors and cooling systems to data center construction and batteries, as the group looks to expand its role in the global AI infrastructure buildout. Helix, launched in June, is led by Adam Selipsky, the former CEO of Amazon Web Services, and counts KKR, the Kuwait Investment Authority, Nvidia, and U.S. power company Vistra as founding investors. KKR said the new investment comes on top of the more than $10B of funds already committed to the company. Samsung Electronics shares rose 2.13% Tuesday morning, while the benchmark Kospi index fell 0.53%.

Kairos Power taps Samsung C&T for Google reactor in deal worth up to $100M

Kairos Power has selected engineering firm Samsung C&T to help build its 50 megawatt demonstration reactor for Google, a project the nuclear startup aims to complete by 2030. Under the deal announced Monday, Samsung C&T will make an equity investment in Kairos and provide in-kind engineering services, together worth up to $100 million, with the equity portion accounting for $70 million of the total, a Kairos spokesperson told TechCrunch. Samsung C&T has built or helped build about a dozen nuclear reactors around the world. Kairos is part of a wave of nuclear startups benefiting from surging power demand from AI data centers, and Google first signed a deal with the company in fall 2024 calling for reactors capable of generating about half a gigawatt of electricity by 2035. Kairos is currently building two reactors in Oak Ridge, Tennessee: Hermes 1, a low-power demonstrator to refine its commercial design, and Hermes 2, its first commercial-scale reactor, whose output will count as the first 50 megawatts of the Google deal. The startup received Nuclear Regulatory Commission approval to build the reactors in November 2024 and expects Hermes 2 to begin operating in 2030, in line with its original agreement with Google.
