WaterBridge files $100M private placement of additional 6.500% senior notes due 2033

WaterBridge Infrastructure said its subsidiary WBI Operating intends to offer $100 million in aggregate principal amount of 6.500% senior notes due 2033 in a private placement. The new notes are being offered as additional notes under the indenture dated October 6, 2025, under which the issuer previously issued $600 million of the same series, and will have identical terms except for issue date and price. WaterBridge plans to use the net proceeds to repay a portion of outstanding borrowings under its revolving credit facility.

WaterBridge Infrastructure raises 2026 guidance after record Q2

WaterBridge Infrastructure reported record second-quarter revenue and adjusted EBITDA and raised its full-year 2026 guidance. Revenue rose 8% sequentially to $217.8 million, net income increased to $14.6 million from $9.5 million, and adjusted EBITDA climbed 12% to $115.8 million with a 53% margin. The company now expects full-year produced water volumes of 2.55 million to 2.75 million barrels per day and adjusted EBITDA of $435 million to $475 million, reflecting the Ranger Water Midstream and NDB Landfill acquisitions. Capital expenditure guidance was raised by $100 million to $530 million to $590 million, and the revolving credit facility was upsized from $500 million to $750 million with a 25 basis point reduction in borrowing costs. Management also declared a quarterly dividend of $0.05 per share and highlighted the launch of Speedway Phase 1 in July 2026.

Devon Energy Sells $52.7 Million in WaterBridge Class A Shares

Devon Energy has sold its entire indirect stake of 1,755,174 Class A shares in WaterBridge Infrastructure for approximately $52.7 million. The shares were obtained through the redemption of an equal number of WBI Operating LLC units and cancellation of Class B shares, converted into Class A shares immediately before the open-market sale. Devon continues to hold 16,002,051 Class B shares and an equivalent number of operating units through its subsidiary Devon Holdco, preserving substantial potential ownership.
