Payoneer opens India tech hub, plans to hire 300 engineers by end-2026

Nasdaq-listed fintech firm Payoneer Global plans to hire around 300 engineers by end of 2026 for its new global capability centre in India. The new facility in Gurugram near Delhi will become Payoneer's second-largest tech and R&D centre globally, focusing on AI and platform engineers. India site leader Gaurav Gupta said the key reason for coming to India is to tap into the talent density for building financial technologies at large scale with deep-tech expertise. The company already has a Bengaluru office with around 400 employees handling domestic sales. Gupta said the proposed acquisition of Payoneer by Canadian fintech Nuvei for about $2.75 billion would not impact the India GCC or local business operations.

Payoneer’s Recent Rally Masks Weak EPS Growth and Low ROE, Analysts Say

Payoneer’s stock has returned 29.9% over the past six months, outpacing the S&P 500 by 20.9% and reaching $7.02 per share, but analysts at StockStory urge caution. They highlight that Payoneer’s EPS grew at a compounded annual rate of only 4.8% over the last two years, well below its 11% annualized revenue growth, signaling declining per-share profitability. Additionally, the company’s average return on equity over the past five years stands at 7.3%, below the sector average of around 10%. With the stock trading at 25.2 times forward earnings, the analysts believe too much optimism is priced in and recommend looking elsewhere, pointing to an entrenched endpoint security platform as a better alternative.
PAYO · Capital · Negative Analysts highlight weak EPS growth (4.8% CAGR) and low ROE (7.3% vs sector ~10%), suggesting overvaluation at 25.2x forward earnings.

Benchmark Downgrades Payoneer to Hold After Nuvei Buyout Deal

Benchmark downgraded Payoneer Global to Hold from Buy on June 18, following Nuvei's agreement to acquire the company for $7.40 per share in cash. The downgrade reflects limited remaining upside after the acquisition announcement, as the offer price effectively establishes a valuation ceiling pending completion of the transaction. Earlier, on June 16, Deutsche Bank raised its price target on Payoneer to $7.40 from $6 while maintaining a Buy rating, aligning its valuation with the proposed acquisition price and recognizing the deal as validation of Payoneer's business model and growth strategy.

Ademi LLP investigates Payoneer's $2.75 billion deal with Nuvei

Ademi LLP is investigating Payoneer Global Inc. for possible breaches of fiduciary duty in its recently announced transaction with Nuvei. Payoneer stockholders will receive $7.40 per share in cash, representing a total transaction equity value of approximately $2.75 billion. The investigation focuses on whether the Payoneer board of directors is fulfilling its fiduciary duties to all shareholders, particularly given that insiders will receive substantial benefits as part of change of control arrangements. The transaction agreement imposes a significant penalty if Payoneer accepts a competing bid, which the firm says unreasonably limits competing transactions.
