UniCredit takeover advances as Commerzbank drops defense and ECB signals approval

  • Record quarterly profit Commerzbank reported over €800 million in net income, its best quarter in a decade, with record revenue above €3 billion. Strong profits make the bank more valuable and can support the share price, though the stock already trades above the European bank average.

This is the only new fundamental operating result in the period and directly affects the bank's value.

  • Commerzbank gives up independence fight Commerzbank has reportedly stopped trying to block UniCredit's takeover and agreed to talks. Losing independence creates uncertainty about jobs, strategy and future dividends, which can weigh on the share price even if a deal eventually pays a premium.

This is the key new event that changes Commerzbank's ownership future and is the main driver of the period.

  • ECB leans toward approving takeover The ECB is leaning toward approving UniCredit's acquisition, removing a major regulatory hurdle. That makes a deal more likely, which can lift the shares toward a takeover price, but also means Commerzbank may soon be absorbed and lose its standalone listing.

This is a new regulatory step that materially changes the probability of the takeover completing.

  • German government still opposed Germany's finance minister will meet UniCredit's CEO in September to convey the government's opposition to the takeover. Berlin holds a 12% stake and could still complicate or delay a deal, creating a real counterweight to the positive takeover momentum.

This is the main new counterweight showing the deal is not yet certain and political risk remains.

UniCredit's takeover advances despite German resistance and record earnings

  • UniCredit stake increase UniCredit raised its stake to 48%, nearing control, and Commerzbank reportedly abandoned its independence defense, creating uncertainty over jobs, strategy, and dividends.

This is the main negative force driving uncertainty and potential downside for Commerzbank shares.

  • German government support Berlin rejected UniCredit's share swap and backed a standalone Commerzbank, providing a counterweight to the takeover and supporting the bank's independence.

This positive counterweight helped limit the negative impact of UniCredit's advances.

  • Record quarterly earnings Commerzbank posted record quarterly net income above €800 million, its best in a decade, with revenue over €3 billion, showcasing strong financial performance.

Strong earnings provided fundamental support for the stock price amid takeover turmoil.

  • Regulatory developments The ECB leaned toward approving the deal, while EU antitrust support for cross-border mergers added tailwind, but this also strengthened UniCredit's bid case.

Regulatory shifts had both positive and negative implications for Commerzbank's independence and valuation.

RBC downgrades Commerzbank to sector perform on UniCredit execution risk

RBC Capital Markets downgraded Commerzbank to "sector perform" from "outperform" on Friday, citing rising execution risk from UniCredit's plans for the German lender. RBC cut its price target to €40 from €43 and raised its cost-of-equity assumption to 12% from 11%, noting Commerzbank shares closed at €39.37 on Thursday. UniCredit has secured 49.65% of Commerzbank's voting rights and plans to take control from Jan. 1, 2027, subject to expected European Central Bank approval by year-end. RBC's base case assumes Commerzbank remains standalone under an initial "Unlocked" phase, with restructuring costs of €2.2 billion, cost savings of €1.4 billion and €650 million of lost revenue, alongside plans to release €4 billion of capital. In a later phase RBC calls "New Chapter", Commerzbank could acquire UniCredit's German subsidiary HVB for 25 billion, a deal RBC estimates would generate an 11% return on investment by 2030, rising to 13% if UniCredit delivers its full synergy target. Commerzbank is scheduled to report third-quarter results on Nov. 5.

Digital Euro Pilot to Start in 2027 as Visa and Mastercard Handle 47% of Eurozone Card Payments

The European Central Bank's digital euro project has cleared a key political hurdle, with the European Parliament's economic affairs committee voting 43 to 14 in favor of the digital central bank currency, and a 12-month pilot now scheduled to begin in the second half of 2027 with 36 finance firms including Deutsche Bank, Revolut, Adyen, and UniCredit signed up to participate. Businesses across the EU will be required to accept digital euros, in-store and online, by 2029. The push comes as Visa and Mastercard processed 47% of the eurozone's card payments value in 2025, according to GlobalData, with concentration even higher in the U.K., where 95% of card transactions rely on payment systems owned by the two U.S. companies. Fifteen of the euro area's 21 countries still lack a domestic digital payment solution, according to the ECB, and no current European payment scheme works seamlessly across the entire bloc. The ECB estimates the digital euro could collectively cost European banks €4 billion to €6 billion over four years, with its own setup costs estimated at €1.3 billion and ongoing operating costs of roughly €300 million a year. The project faces uneven support from some of Europe's largest banks, as BNP Paribas, Commerzbank, and Rabobank have all backed Wero, a bank-funded digital wallet with 50 million users, and it has taken six years to reach the pilot stage.

EU Officials Call for Bigger Banks and Deeper Capital Markets to Rival US

Senior European officials said European banks need greater scale and deeper capital markets to compete with US rivals, as EU finance ministers and central bank governors met in Dublin to discuss a European Commission report calling for less political interference in bank mergers and the removal of barriers to cross-border banking within the bloc. European Central Bank Vice President Boris Vujcic told Reuters that EU banks compare well with US peers on liquidity, capitalisation, profitability and efficiency but lag in trading and post-trading activities, where scale really matters. Euro zone finance ministers' chair Kyriakos Pierrakakis said greater integration and further cross-border consolidation would give European banks the scale to invest, innovate and compete, adding that the largest US banks invest more than two-and-a-half times as much in information technology relative to their assets as European lenders. The meeting follows Germany's June rejection of an offer from Italy's UniCredit to take over Commerzbank, a deal UniCredit began pursuing in September 2024 and which has faced strong opposition, highlighting the difficulty of cross-border banking deals in Europe. Vujcic pushed back against calls from some bankers for lower capital requirements, saying this would not necessarily boost lending and could instead fuel share buybacks, and urged the EU to complete its banking union and savings and investments union to create a truly integrated financial market.

German Finance Minister Sets Conditions for UniCredit's Commerzbank Takeover

German Finance Minister Klingbeil met on the 14th with Andrea Orcel, chief executive of Italian banking giant UniCredit, and set out conditions regarding a possible takeover of Germany's Commerzbank by UniCredit. According to a statement from the German Finance Ministry, the conditions include maintaining Commerzbank's stock market listing, keeping its headquarters in Frankfurt, and continuing lending to German small and medium-sized enterprises at home and abroad. The meeting in Berlin marked a turning point in the two-year battle over control of Commerzbank. Klingbeil said, "In a constructive discussion with Orcel, I made clear that the negotiations ahead must be conducted responsibly," while Orcel also said the meeting was a good and constructive first round of talks and that further discussions would follow promptly. After UniCredit acquired nearly 50 percent of the shares, German government officials and Commerzbank executives, following months of resistance, softened their opposition to a possible takeover. If UniCredit and Commerzbank merge, it would create a bank with more than 1.3 trillion euros in assets spanning two major economies of the euro area.

Commerzbank Expects Russian Central Bank to Hold Key Rate at 14.0%

Commerzbank analyst Tatha Ghose expects the Russian central bank to keep its key rate at 14.0%, arguing that inflation fundamentals do not justify further easing despite weak growth. ECB raises rates for the second time this year, to 2.50%

The European Central Bank raised its policy interest rate to 2.50% on Thursday, September 10, its second rate hike this year, in a bid to curb inflation pressures that have resurfaced on energy prices. ECB President Christine Lagarde said the decision was a straightforward one and warned that inflation may take longer than previously estimated to return to the 2% target, which the ECB currently expects to happen in late 2027. Markets increased their bets that the ECB will raise rates more than three times over the next 12 months, up from expectations of two to three hikes before the meeting. Sources close to the discussions said further tightening could be considered as early as the October 29 meeting. Economists at Commerzbank and AFS both revised their forecasts to expect another 0.25% rate hike in December, while Nordea kept its baseline projection that the ECB will raise rates twice more, by 0.25% each time, with the first in December and the second in March 2027.

ECB leaning toward approving UniCredit's Commerzbank takeover

The European Central Bank is leaning toward approving Italian banking giant UniCredit's acquisition of Germany's Commerzbank, saying it has no grounds to object, according to an internal document outlining preliminary views. If the takeover goes through, it would create one of Europe's largest financial institutions. According to the document obtained by Reuters, the ECB expects the integration to be difficult and lengthy, but concluded that this does not provide legitimate grounds to block the deal. Germany's supervisory authority noted that a strategy is needed to win support within Commerzbank and expressed concerns about weaknesses in UniCredit's corporate governance, but the ECB believes these have been addressed through measures such as detailed minute-taking and a strengthened supervisory framework. The document was presented to the ECB's banking supervision committee in July, with a final review scheduled for September or October. Commerzbank agrees to talks with UniCredit after two-year standoff

Commerzbank CEO Bettina Orlopp has called for the opening of talks with UniCredit regarding the German bank's future, marking a turning point after nearly two years of fierce confrontation. In an interview on Commerzbank's intranet obtained by AFP, Orlopp said the two institutions must engage in a constructive dialogue to identify a path forward that creates value for everyone involved, with a prerequisite of a shared understanding of the business model and the involvement of all stakeholders. UniCredit acquired a stake in Commerzbank in September 2024 and has since raised its holding to nearly 50 percent, despite repeated opposition from the German bank's management and the government in Berlin. The German state, which still holds a 12 percent stake, has recently shifted its stance, with Chancellor Friedrich Merz saying his government did not want to prevent a merger. Orlopp warned that even if UniCredit secures a majority at the next Annual General Meeting, it will not be able to push through fundamental structural changes on its own, and discussions will be conducted in close cooperation with the Supervisory Board, employee representatives, and the German Federal Government.

New York Gold Closes Down $38, Pressured by Stronger Dollar Ahead of Fed Meeting Outcome

New York gold futures closed down $38.30, or 0.94%, at $4,038.70 per ounce, the lowest level in one week, pressured by a stronger U.S. dollar trading near a one-month high. Investors held back ahead of the Federal Reserve's monetary policy meeting outcome and a press conference by Fed Chair Kevin Warsh, seeking signals on the interest rate outlook. Analysts noted that persistently high energy prices are fueling inflation concerns, and expectations that the Fed may signal a more hawkish policy stance have boosted both bond yields and the dollar, reducing the appeal of gold, a non-yielding asset. Gold prices have fallen about 24% since the war between the U.S. and Israel against Iran erupted in late February, as markets worry the conflict will push energy prices and inflation higher, potentially keeping interest rates elevated for longer. Investors are pricing in about a 71% chance the Fed will hold rates steady at its July 29 meeting, and about a 75% chance of a rate hike at the September meeting, while closely watching Warsh's remarks. Additionally, investors await the release of the U.S. personal consumption expenditures price index for June on Thursday, July 30, a key inflation gauge for the Fed. Commerzbank cut its year-end gold price forecast by $300 to $4,500 per ounce, saying that if the interest rate trend remains unchanged, gold ETF investors are likely to return only cautiously, making a sustained gold price recovery difficult. On the geopolitical front, President Donald Trump said the U.S. and Iran are engaged in positive negotiations and there is still a chance to reach a deal. However, the U.S. is ready to resume military action if talks fail, while Iran has signaled it will retaliate if attacked again.
GOLD · Monetary · Negative Stronger dollar and expectations of hawkish Fed policy reduce gold's appeal as a non-yielding asset.
CBK.XETRA · Capital · Negative Commerzbank cut its year-end gold price forecast by $300 to $4,500 per ounce, reflecting a bearish view on gold.

German prosecutors reject Commerzbank staff's market manipulation complaint against UniCredit

German prosecutors have rejected a criminal complaint filed by Commerzbank employees alleging market manipulation by UniCredit in its hostile takeover bid. The Frankfurt prosecutors' office said it found insufficient indication of a crime after reviewing the matter. The staff body had accused UniCredit of artificially inflating acceptance figures, claiming that entities connected to the Italian lender were almost exclusively accepting the offer. UniCredit has denied any malpractice and recently secured a total of 49.65 percent of Commerzbank voting rights, though Commerzbank said the acceptance rate among independent shareholders was low.

Commerzbank Stock Gains Ground, Valuation Debate Intensifies

Commerzbank shares have drawn investor interest after recent trading left the stock at €37.90, with a 9.66% three-month return and a 35.19% one-year total shareholder return. The most followed narrative pegs fair value at €39.40, suggesting the stock is modestly undervalued, supported by digital initiatives such as AI-driven solutions and fintech adoption that could lower costs and boost fee-based revenues. However, the current price-to-earnings ratio of 17.1 times exceeds both the European banks average of 11.7 times and a fair ratio of 13.2 times, indicating richer pricing that may limit upside. Investors are weighing whether earnings growth can justify the premium or if the multiple will contract toward the lower fair level.

UniCredit lifts Commerzbank holding to 42.5%

UniCredit has raised its overall holding in Commerzbank to 42.5% following the end of the first acceptance period for its offer. The Italian lender received valid acceptances equal to 12.51% of Commerzbank shares by the close of the initial offer period earlier this week. Combined with the 26.77% stake it already held directly and a further 3.22% linked to financial contracts that can be settled with share delivery, UniCredit said its position now totals 42.5%. The bid will be reopened for Commerzbank investors from 20 June until 3 July. The result brings CEO Andrea Orcel nearer to his long-running attempt to increase UniCredit's position in the German bank, though German federal authorities earlier this month rejected a share-exchange proposal and reiterated their support for Commerzbank's independence.

Germany Blocks UniCredit's Takeover Bid for Commerzbank

German authorities have officially rejected UniCredit's takeover bid for Commerzbank, removing a major uncertainty around the bank's ownership. The decision confirms the proposed acquisition will not proceed, leaving Commerzbank as an independent listed bank with UniCredit capped at a minority stake. Commerzbank's stock last closed at €38.61, with returns of 4.8% over the past week, 3.9% over the past month, 6.1% year to date, and 40.6% over the past year, including a rise of 335.3% over three years. Attention now shifts back to Commerzbank's stand-alone strategy, including digital transformation and cost reduction, as well as its active use of debt markets. The regulatory outcome underscores the scrutiny on large cross-border banking deals and reshapes the risk profile away from deal uncertainty toward day-to-day credit quality, funding, profitability, and governance.

EU antitrust chief urges member states to back cross-border bank mergers

Europe's antitrust chief Teresa Ribera called on EU governments to support cross-border bank mergers, saying they are urgently needed to complete the single market. Her remarks came a day after Germany rejected Italian bank UniCredit's offer for shares in Germany's Commerzbank, citing price and what it called an aggressive approach. Ribera criticized countries that speak in favor of pan-European champions but do not support the steps required, and stressed that Europe cannot argue it needs globally competitive firms while refusing to examine whether its analytical frameworks reflect global competition and investment needs. The push for cross-border banking consolidation is linked to the bloc's need for multi-trillion-euro funding for green and digital projects, though plans for a full banking union remain stuck over the lack of a common deposit guarantee scheme.
